Acceptance of this Agreement

When the participant (You) signs the agreement, he agrees to the Terms and Conditions, obligations, representations, warranties, and agreements contained in it. If for some reason, you are unwilling to accept the Agreement, you will not be permitted to proceed further to view or use in any manner any content, information, courseware, products, and services published, available, or provided on www.leanwisdom.com (the website owned and maintained by LeanWisdom.

 

User ID and Password

In this Agreement, you confirm that the user ID and password provided are for your exclusive use. Use or sharing of your Account credentials with any other user is not permitted and can lead to immediate blocking of access to the Website and related content as well as the termination of this Agreement.

You consent to be responsible for maintaining the confidentiality of your Account and all its related activities. If you have reason to believe that your account has been used without your authorization, you should immediately notify our Support Team. You also agree to take all precautionary steps to prevent such unauthorized use and to cooperate with LeanWisdom in any investigation of unauthorized use. LeanWisdom will not, under any circumstances, be held liable for claims related to the misuse of your Account due to the activities of any third party or due to your failure to maintain the confidentiality and security of your Account.

 

Content and Courseware

As a part of our Services, you will be granted access to all the content and other information related to the specific course you have registered for. This information may be in any format like audio, video, written, recorded, and so on.

LeanWisdom reserves the right to amend or update any content relating to the course offered to you. If any such amendment or updation is undertaken, LeanWisdom may require that you pay an additional fee to access such amended or updated content.

 

Free Access

Some specific courses offered by LeanWisdom is available for free access. You may access only the self-learning videos and course resources related to these courses. At no time does this mean that you have unrestricted and unconditional access to the complete features of these courses that may otherwise be available on the purchase of these courses.

Free access to these courses will be limited to the respective number of days specified against each Course as on the date of your enrolment. On the expiry of the said number of days, free access will be revoked. LeanWisdom, however, reserves the right to extend free access to the content earlier without providing notice or incurring liability.

Enrolment to these free courses does not give you the license to further sale or utilize course material for any commercial/non-commercial purpose.

All course material provided to you under the free access is under the copyright of LeanWisdom. Any violation of laws will make you liable to the maximum extent available under law.

You will receive all regular features of the courses, including exam vouchers and certifications, only once you complete the purchase of the respective course. Once you fully purchase a course, your balance of free access days will be added to the number of days that may be applicable to the respective Course.

The above terms will prevail to the extent of the free access courses only. We encourage you to also read our Privacy Policy along with this.

LeanWisdom reserves all other rights with respect to free access courses and may extend or forfeit this offer at any time.

 

Usage of the Website and Services

LeanWisdom grants you a personal, non-transferable, non-exclusive, and revocable license to use their website, services, and course content till the certification training course you have enrolled for is completed or this agreement is terminated, whichever is earlier. The services and the course content is provided solely for your personal and non-commercial use so that you may complete the certification training course you have registered for.

 

You are permitted to access the Website, services, and the course content and permitted to download, save, or print the course content for the certification training course you have registered for.

 

You are not given permission to sell, reproduce and distribute any course content in whole or part through any means whatsoever for any purpose other than for the certification training course you have registered for without the prior written consent of LeanWisdom.

 

Intellectual Property Rights

Though LeanWisdom has granted you a limited and non-exclusive right to use the website, services, and the course content for the certification training course you have registered for, we are the sole and exclusive owner of the website, services and the courseware and as such all intellectual property and proprietary rights are vested with us.

 

As a participant, you agree that this Agreement only permits you to use the website, services, and the course content for the certification course you have registered for and does not give you any rights, title or interest in the website, services, and the course content.

Usage of Personal Information of Participants

LeanWisdom reserves the right to feature your picture in any photos, videos, or promotional material used. Your personal information can, however, be used to contact you with information about other certification training courses offered by us. We will not disclose your personal information with any third party except on a case-to-case basis after proper verification of such third party or if required to do so under any applicable law.

 

Limitation of Liability

As a participant, you expressly agree that use of the website, services, and the course content are at your sole risk. LeanWisdom does not give a warranty that accesses to the website, services or course content will be uninterrupted or error-free; nor is there any warranty as to the results that may be obtained, or the accuracy or reliability of any information provided through the website, services, or course content. Under no circumstances will LeanWisdom or any person or entity involved in creating and maintaining the website, services or course content be liable for any direct or indirect damages arising out of the use or inability to use the website, services or course content.

 

The disclaimer of liability stated above applies to any and all damages or injury caused by any failure of performance, error, omission, interruption, deletion, delay, computer virus, communication failure, theft, alteration, or use of records or any other material, whether for breach of contract or under any other cause of action.

 

As a participant, you acknowledge that LeanWisdom cannot be held liable for any defamatory, offensive, or illegal conduct of third parties, or other users of the website, services, or the course content. Any risk of damage or injury from the above rests with each user.

 

As a participant, you agree that the liability of LeanWisdom or our affiliates, directors, and employees, if any, arising out of any kind of legal claim that is connected with the website, services or the course content will not exceed the fee paid for the particular certification training course.

 

Term and Termination

This Agreement will become effective once you accept the terms by registering and paying for the course and will remain in effect till you remain a current, fully paid up online participant, or until terminated by LeanWisdom, whichever is earlier.

 

LeanWisdom reserves the right to terminate this Agreement and block your access to the course content with immediate effect by sending a written notice through email to you, if such termination is the result of your misrepresentation, default or misconduct. On the occurrence of any such default, LeanWisdom is authorized to exercise all the rights and remedies under this Agreement or applicable law to seek indemnification for any loss resulting from any such default.

 

Indemnity

As a participant, you agree to indemnify and hold us, Our contractors, directors, employees, and agents, harmless from and against all claims, losses, damages, liabilities, and expenses including attorneys' fees, arising out of your unauthorized use of the website, services, and course content or any violation or breach of this Agreement.

 

Waiver

Failure or delay on the part of any party to exercise any right, remedy, power, or privilege shall not operate as a waiver, or exercise of any other right, remedy, power, or privilege. Consent should be received in writing and signed for any term of this Agreement to be deemed waived.

 

Severability

If any provision of this Agreement is held invalid or cannot be enforced under the applicable laws of India, the remaining provisions will continue in full force and effect. The Agreement shall be deemed to be modified by replacing the invalid or unenforceable provision with a valid and enforceable one that gives the effect as closely as possible to the intentions of the parties.

Governing Law and Jurisdiction

For participants who are residents of the U.S.A., this Agreement shall be governed by the Laws of New York and the courts in New York will have the exclusive jurisdiction over any matter arising out of this Agreement.

 

For participants who are not residents of the U.S.A., this Agreement will be governed by the Laws of India and the courts in Bangalore, India will have the exclusive jurisdiction over any matter arising out of this Agreement.

 

Amendment and Assignment

LeanWisdom reserves the right to amend or modify this Agreement without giving any prior notice. The revised agreement will be published on the website so that you are aware of the revisions, modifications, and amendments made. It is your responsibility to check the website periodically for these revisions, modifications, and amendments. Your continued use of the website, services, and the courseware content following the posting of any changes to this Agreement will construe acceptance of those changes.

 

This Agreement or the rights and obligations mentioned therein cannot be assigned to any third party. By doing so, you will be held liable for any breach of this Agreement or any terms and conditions hereof.

 

Entire Agreement

This Agreement, along with the Privacy Policy and Refund/Rescheduling Policy, and any additional guidelines, rules, and/or disclaimers posted on our website constitutes the entire agreement governing the use of our Website and supersedes any prior agreements, if any, relating to any matter dealt with within this Agreement.
